1. Definitions & Scope

These Terms and Conditions ("Terms") govern all business-to-business transactions between HH Capital Global B.V. (KVK: 98534025, VAT: NL868536209B01), registered at Coolsingel 104, 3011AG Rotterdam, Netherlands ("Seller", "we", "us") and the purchasing business entity ("Buyer", "you"). By placing an order or requesting a quotation, the Buyer agrees to be bound by these Terms. These Terms apply exclusively to commercial transactions between registered businesses and do not apply to consumer purchases.

2. Quotations & Orders

All quotations issued by HH Capital Global B.V. are valid for 7 calendar days from the date of issue unless otherwise stated. Quoted prices are subject to product availability and may be adjusted in the event of currency fluctuations, supplier price changes, or changes in applicable duties and taxes. An order is only binding upon written confirmation by the Seller. We reserve the right to decline any order at our sole discretion. Minimum Order Quantities (MOQs) apply to all products and are specified per product line in the quotation.

3. Pricing & Payment Terms

All prices are quoted in EUR unless otherwise agreed. Prices are exclusive of VAT, customs duties, import taxes, and shipping costs unless explicitly stated. Payment terms are agreed per transaction and confirmed in the proforma invoice. Standard payment terms are net 30 days from invoice date for approved credit accounts, or prepayment (T/T) for new customers. Late payments are subject to statutory interest as per Dutch commercial law. The Seller reserves the right to suspend deliveries if payments are overdue.

4. Delivery & Shipping Terms (Incoterms® 2020)

Unless otherwise agreed in writing, deliveries are made EXW (Ex Works) from our warehouse locations in the Netherlands or EU. Alternative Incoterms (FOB, CIF, DAP, DDP) may be agreed upon request and will be specified in the quotation. Delivery dates are estimated and not guaranteed. The Seller shall not be liable for delays caused by force majeure, carrier issues, customs clearance, or events outside our reasonable control. Risk of loss transfers to the Buyer in accordance with the agreed Incoterm. All shipments include commercial invoice, packing list, and certificate of origin where applicable.

5. Product Quality & Specifications

All products are sourced from verified suppliers and are genuine branded goods. Product specifications, including shelf life, packaging variants, and labelling language, are confirmed at the time of quotation. Minimum remaining shelf life at the time of dispatch is typically 60% of total shelf life unless otherwise agreed. Images shown on our website are for reference purposes only and may differ from actual products in terms of packaging design, language, or seasonal variants.

6. Claims, Returns & Liability

The Buyer must inspect goods upon receipt and report any damage, shortage, or non-conformity in writing within 48 hours of delivery. Claims not made within this period may be rejected. Returns are accepted only with prior written authorisation from the Seller. The Seller's liability is limited to replacement of defective goods or credit against the invoice value of the affected items. Under no circumstances shall the Seller be liable for indirect, consequential, or incidental damages, including but not limited to lost profits, business interruption, or reputational harm.

7. Import/Export Compliance

The Buyer is solely responsible for compliance with all import regulations, licensing requirements, labelling standards, and product registration in the destination country. The Seller provides export documentation as required (EUR.1, Form A, health certificates where available) but does not guarantee product compliance with the Buyer's local market regulations. It is the Buyer's responsibility to verify that products meet local food safety, labelling, and import requirements before placing an order.

8. Buyer Account Approval

HH Capital Global B.V. trades exclusively with registered businesses. New buyers may be required to provide company registration documents, VAT/EORI numbers, and trade references before account approval. The Seller reserves the right to request prepayment for initial orders and to adjust credit terms based on payment history and order volume.

9. Intellectual Property & Trademarks

All trademarks, brand names, and logos displayed on this website belong to their respective owners. HH Capital Global B.V. is an independent trading company and is not affiliated with, endorsed by, or authorised as an official distributor of any brand unless expressly stated. Product images and descriptions are provided for identification purposes only.

10. Confidentiality

Both parties agree to keep confidential any pricing, product availability, supplier information, and commercial terms disclosed during the course of business. Neither party shall disclose such information to third parties without prior written consent, except as required by law.

11. Force Majeure

Neither party shall be liable for failure to perform its obligations due to events beyond its reasonable control, including but not limited to natural disasters, pandemics, war, government sanctions, trade embargoes, supplier failures, port closures, or transportation disruptions. In such cases, the affected party shall notify the other party promptly and both parties shall negotiate in good faith to resolve the situation.

12. Dispute Resolution & Governing Law

These Terms are governed by the laws of the Netherlands. Any disputes arising from or in connection with these Terms shall first be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to the competent court in Rotterdam, the Netherlands. The United Nations Convention on Contracts for the International Sale of Goods (CISG) applies to all international transactions unless explicitly excluded in writing.

13. Amendments

HH Capital Global B.V. reserves the right to amend these Terms at any time. Updated Terms will be published on this website. Continued use of our services or placement of orders after publication constitutes acceptance of the revised Terms. Material changes will be communicated to active account holders via email.
